These Terms of Engagement (“Terms”) outline the general principles and conditions under which Gilvin Group (“Gilvin Group,” “we,” “us,” or “our”) provides professional advisory, consulting, strategy, growth, and related services to clients (“Client,” “you,” or “your”).
By engaging Gilvin Group for services, you acknowledge that you have read, understood, and agreed to these Terms.
1. Our Services
Gilvin Group provides professional services that may include, but are not limited to:
- Business and strategic advisory
- Growth and development consulting
- Marketing and brand strategy
- Innovation and business development
- Music and entertainment industry advisory
- Research, analysis, and strategic planning
- Other professional services agreed upon with a Client
The specific services, deliverables, scope, timeline, and fees for each engagement will be agreed upon before work begins.
2. Scope of Engagement
Each engagement may be defined through a proposal, statement of work, service agreement, email confirmation, or other written communication.
The agreed scope may include:
- Services and deliverables to be provided
- Project objectives
- Estimated timeline
- Client responsibilities
- Professional fees and payment terms
- Any applicable expenses or third-party costs
Requests outside the agreed scope may require additional fees, time, or a separate agreement.
3. Client Responsibilities
To enable us to provide services effectively, the Client agrees to:
- Provide accurate and complete information relevant to the engagement
- Provide requested documents, materials, access, and approvals in a timely manner
- Communicate relevant changes that may affect the project
- Review and provide feedback on deliverables within a reasonable timeframe
- Make payments according to the agreed payment schedule
Delays in receiving information, approvals, or required materials may affect the project timeline.
4. Fees and Payment
Professional fees and payment schedules will be agreed upon before an engagement begins.
Unless otherwise agreed in writing:
- Fees are based on the scope of services agreed upon with the Client.
- Additional work outside the agreed scope may be charged separately.
- Third-party costs, subscriptions, licenses, advertising expenses, software, or other external services may be the responsibility of the Client.
- Invoices are payable according to the agreed payment terms.
Failure to make required payments may result in the suspension or termination of services.
5. Timelines and Deliverables
We will make reasonable efforts to complete services within the agreed timeframe.
Project timelines may change due to:
- Changes in scope
- Delayed Client feedback or approvals
- Delayed provision of required information or materials
- Third-party dependencies
- Events or circumstances beyond our reasonable control
Any significant changes to the project timeline will be communicated to the Client when reasonably possible.
6. Communication and Approvals
Clear and timely communication is important to the success of an engagement.
The Client is responsible for reviewing materials, providing feedback, and approving deliverables within a reasonable timeframe.
Once a deliverable has been approved, subsequent changes may be treated as additional work if they fall outside the originally agreed scope.
7. Confidentiality
We respect the confidentiality of information shared with us during an engagement.
Unless otherwise authorized or required by law, we will take reasonable steps to keep confidential information private and use it only for purposes related to the engagement.
The confidentiality obligation does not generally apply to information that:
- Is publicly available through no breach of these Terms
- Was already lawfully known to us
- Is independently developed without using confidential information
- Must be disclosed by law or legal process
8. Intellectual Property
Ownership of project-specific materials and deliverables will be determined by the applicable proposal, agreement, or statement of work.
Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property, including methodologies, processes, templates, tools, frameworks, know-how, trademarks, and other materials developed independently of the engagement.
Any third-party materials, software, licenses, or intellectual property remain subject to the applicable third-party terms.
9. Third-Party Services
Some engagements may involve third-party platforms, software, technology providers, contractors, or other external services.
Gilvin Group is not responsible for changes, outages, limitations, pricing, policies, or performance of third-party services that are outside our reasonable control.
Where third-party services require separate subscriptions, licenses, or fees, those costs may be the responsibility of the Client unless otherwise agreed.
10. Professional Advice and Results
Our services are intended to provide professional guidance, analysis, strategies, and recommendations based on the information available to us at the time of the engagement.
Unless expressly agreed otherwise, our services do not constitute a guarantee of specific financial, commercial, investment, marketing, or business results.
Actual outcomes may depend on numerous factors beyond our control, including market conditions, Client decisions, implementation, competition, third-party performance, and other external circumstances.
11. Client Materials and Information
The Client is responsible for ensuring that any information, documents, images, trademarks, data, or other materials supplied to Gilvin Group may legally be used for the purposes of the engagement.
The Client remains responsible for the accuracy and legality of materials and information provided to us.
12. Changes to an Engagement
Any material change to the agreed scope, deliverables, timeline, or requirements may require a written change agreement.
Additional work resulting from a Client-requested change may involve additional fees and an adjusted delivery schedule.
13. Cancellation and Termination
Either party may request to end an engagement subject to the terms agreed for that particular project.
If an engagement is terminated, the Client remains responsible for fees for services already performed and approved expenses incurred up to the effective termination date, unless otherwise agreed in writing.
Gilvin Group may suspend or terminate an engagement where there is a material breach of the agreed terms, non-payment, unlawful activity, or circumstances that make continued performance impractical or inappropriate.
14. Limitation of Liability
To the extent permitted by applicable law, Gilvin Group will not be liable for indirect, incidental, consequential, special, or unforeseeable losses arising from an engagement.
Our liability, where legally applicable, will be limited to the extent set out in the applicable service agreement or other written engagement terms.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.
15. Force Majeure
Neither party will be responsible for delays or failure to perform obligations caused by circumstances beyond reasonable control, including natural disasters, widespread technical failures, internet or infrastructure disruptions, government actions, labor disruptions, or other similar events.
The affected party will make reasonable efforts to notify the other party and resume performance when practical.
16. Independent Relationship
Unless expressly agreed otherwise, Gilvin Group and the Client are independent parties.
Nothing in these Terms creates a partnership, joint venture, employment relationship, agency relationship, or fiduciary relationship between the parties.
17. Governing Terms
Specific engagements may be subject to additional written agreements, proposals, statements of work, or other contractual documents.
Where there is a conflict between these general Terms and a specific written agreement, the specific agreement will generally govern the relevant engagement terms.
18. Updates to These Terms
We may update these Terms of Engagement from time to time to reflect changes in our services, business practices, or legal requirements.
The updated version will be published on this page with a revised “Last Updated” date.
